1. Parties and joining

These terms apply between YOUX LTD., operating as 360-Audit.com, and an approved independent partner identified in Schedule A. Participation begins only after our written approval and agreement of that schedule. Partners must be 18 or over and have authority to contract. No course purchase is required merely to apply unless a separately justified, lawful programme condition is expressly agreed.

This is a referral arrangement, not employment, a legal partnership, agency or authority to contract for us. The partner cannot take customer payments on our behalf, make binding promises, provide unauthorised discounts or represent itself as our employee or accredited trainer. Both parties may work with others.

2. Eligible referrals and commission

Only products, territories, customers and transactions expressly identified in Schedule A earn commission. There is no assumed 30% rate, recurring lifetime commission, bounty, tier system or right to commission on every client audit.

The commission base, attribution rule, tracking window, code/link priority, validation period, payout date, currency, threshold and payment method must be agreed in Schedule A. For instalments, commission is calculated on eligible amounts actually received as each payment clears, unless the schedule expressly provides otherwise. No commission is earned on VAT or other sales taxes, refunds, chargebacks, fraudulent transactions or excluded items. Any other deduction must be disclosed in the schedule rather than invented later.

No self-referrals, fabricated customers, cookie stuffing or duplicate claims are permitted. Transactions involving a partner’s employer, controlled business or an existing client require the treatment specified in Schedule A. No commission arises from recruiting other partners alone.

We will maintain reasonable transaction records and provide a statement sufficient to explain the calculation without disclosing unnecessary customer information. Partners can raise a genuine discrepancy with evidence. Neither our tracking system nor a dashboard is conclusive where there is credible contrary evidence; tracking must respect required consent choices, and refusal of cookies must not be bypassed.

3. Payments and corrections

Provide accurate payment and tax information. Each party is responsible for its own taxes and required reporting; VAT invoices and legally required withholding are handled as specified by law and the schedule.

We may reasonably withhold a disputed amount while investigating a documented fraud, refund or calculation issue, explaining the reason where lawful. Undisputed amounts remain payable. Incorrectly paid commission may be corrected or offset against future commission with an explanation; amounts not genuinely owed are not forfeited simply for inactivity or termination.

4. Advertising and disclosures

Clearly identify paid promotions as advertising and disclose the commission relationship close to the recommendation or link. For example: “Ad — I may earn a commission if you buy through this link.” Use appropriate disclosures in each relevant post, video, email or other format; a buried policy-page disclosure alone is not enough.

Use accurate descriptions and current approved prices. Do not invent testimonials, income claims, scarcity, savings, endorsements or qualifications. Personal experience claims must be genuine. Approval of a creative does not remove either party’s legal responsibilities.

No spam, purchased contact lists, misleading redirects, malware, impersonation or unauthorised sub-affiliates. Do not bid on our brand names or confusing variants, register confusing domains or accounts, publish unapproved coupon codes or imply you operate our checkout without written approval. Paid advertising and traffic sources require the permissions specified in Schedule A. Genuine criticism and legally protected speech are not prohibited.

5. Brand and content licence

During the programme, we grant a limited, non-exclusive, non-transferable licence to use the approved marketing assets and marks only to promote the agreed products. Follow supplied brand instructions. Do not redistribute paid course materials, clone our site or upload restricted assets to AI services without permission. Stop using programme assets when approval ends, subject to any agreed wind-down and lawful recordkeeping.

The partner retains its own original content. We may use a partner name or logo for programme administration but need appropriate separate permission for public promotion or testimonials. Neither party acquires all rights in the other’s feedback or intellectual property.

6. Privacy, confidentiality and complaints

Use referral data only for administering the programme and applicable lawful marketing. Do not claim ownership of customers or share lead databases without a lawful basis. Each party is generally an independent controller for its own contacts and compliance. If either processes personal data on the other’s instructions, an appropriate separate data-processing agreement is required first.

Protect non-public commercial information, commission statements and customer details, limit disclosure to authorised people who need it and are bound by confidentiality, and report suspected misuse promptly to [email protected]. Legal and regulatory disclosures remain permitted. Refer product complaints to us; the partner must not make unauthorised refund decisions.

7. Monitoring, changes and ending participation

We may reasonably request samples of promotions and evidence of consent and disclosures, investigate concerns and require corrections. Either party may terminate on the notice agreed in Schedule A. Serious fraud, unlawful promotion or security threats may justify immediate proportionate suspension or termination, with reasons and an opportunity to respond where practicable.

Earned valid commissions survive termination. Treatment of pre-termination referrals, later instalments and any attribution tail must be specified in Schedule A; termination cannot retrospectively erase commissions already earned. No new referrals earn commission after termination unless an agreed tail applies.

Changes to future rates or programme conditions require the notice and acceptance process in Schedule A. Existing earned commissions and expressly agreed referral entitlements are preserved. We will not silently remove accrued rights through a dashboard update.

8. Liability and law

Neither party excludes liability that cannot lawfully be excluded, including fraud or death or personal injury caused by negligence. Other business liability and any indemnity require an express, reasonable agreement in Schedule A. No unlimited indemnity, automatic legal costs or nominal US dollar cap is imported from the benchmark.

England and Wales law governs this business agreement, with its courts having jurisdiction, subject to mandatory law. First raise concerns at [email protected]; that request does not prevent urgent or legally protected action. An unenforceable clause does not invalidate the remainder where it can operate lawfully.
